Welcome to HLM Global LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the website https://hlmglobal.site (the “Site”) and any purchases you make through the Site. By accessing, browsing, or using the Site, or by placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all of these Terms, you must not access or use the Site.

1. Agreement to Terms

These Terms constitute a legally binding agreement between you (the “User” or “Customer”) and HLM Global LLC. We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for updates.

2. Eligibility and Account Registration

  • Eligibility: By using the Site, you represent and warrant that you are at least the age of majority in your state or province of residence (or, if you are a minor, that you have the consent of your parent or legal guardian) and that you have the legal capacity to enter into a binding contract.

  • Account Creation: You may be required to create an account to access certain features, such as placing an order or saving preferences. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Products, Pricing, and Availability

  • Product Information: We strive to display product colors, features, specifications, and details as accurately as possible. However, the actual colors and details you see will depend on your monitor, and we cannot guarantee perfect accuracy. All products are subject to availability. We reserve the right to discontinue any product at any time.

  • Pricing: All prices are listed in U.S. Dollars (USD) and are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed. Despite our best efforts, a small number of items on the Site may be mispriced. We reserve the right to cancel any order for a product that was incorrectly priced.

  • Taxes: You are responsible for all sales, use, value-added, or other taxes, duties, and charges of any kind associated with your order, which will be added to your total purchase price at checkout where applicable by law.

4. Orders and Acceptance

  • Order Placement: Placing an item in your cart does not reserve it. An order is not final until you complete the checkout process and receive an order confirmation email from us. This confirmation email constitutes our acceptance of your order and forms a contract of sale.

  • Order Verification: We reserve the right to refuse or cancel any order for any reason at our sole discretion, including but not limited to: product availability, errors in product or pricing information, suspected fraud, or inability to authorize your payment. If we cancel an order, we will attempt to notify you and will issue a refund if payment was collected.

5. Payment Terms

All payments are processed securely through our third-party payment processor, Stripe. By providing a payment method, you represent and warrant that you are authorized to use that payment method and authorize us (and our processor) to charge your payment method for the total amount of your order (including taxes and shipping). If your payment method cannot be verified, is invalid, or is otherwise not acceptable, your order may be suspended or cancelled automatically. See our Payment Methods page for full details.

6. Shipping and Delivery

Terms related to shipping costs, delivery timelines, and risk of loss are governed by our separate Shipping Policy, which is incorporated into these Terms by reference. Title to the products you order passes to you upon our delivery of the items to the carrier. You are responsible for filing any claims with carriers for damaged or lost shipments.

7. Returns, Refunds, and Exchanges

All returns, refunds, and exchanges are subject to our Refund and Return Policy, which is incorporated into these Terms by reference. You agree to abide by the conditions and timeframes set forth in that policy.

8. Intellectual Property Rights

  • Ownership: The Site, including all content, features, functionality, design, text, graphics, logos, icons, images, audio clips, data compilations, and software, is the exclusive property of HLM Global LLC or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent.

  • Trademarks: “HLM Global LLC,” our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of HLM Global LLC or its affiliates. You must not use such marks without our prior written permission.

9. User Conduct and Prohibited Uses

You agree not to use the Site:

  • In any way that violates any applicable law or regulation.

  • To impersonate or attempt to impersonate the Company, an employee, another user, or any other person or entity.

  • To engage in any conduct that restricts or inhibits anyone’s use of the Site, or which may harm the Company or users of the Site.

  • To use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any material.

  • To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

10. Disclaimer of Warranties and Limitation of Liability

  • Site “As Is”: YOUR USE OF THE SITE AND YOUR RELIANCE ON ANY INFORMATION ON THE SITE IS SOLELY AT YOUR OWN RISK. THE SITE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, HLM GLOBAL LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (III) ANY CONTENT OBTAINED FROM THE SITE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

  • Cap on Liability: IN NO EVENT SHALL THE AGGREGATE LIABILITY OF HLM GLOBAL LLC EXCEED THE AMOUNT YOU PAID TO HLM GLOBAL LLC FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless HLM Global LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site’s content or products other than as expressly authorized in these Terms.

12. Governing Law and Dispute Resolution

  • Governing Law: These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

  • Informal Resolution: We strongly encourage you to contact us first at danny@hlmsg.com to seek a resolution for any dispute arising from these Terms or your use of the Site.

  • Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Sheridan County, Wyoming, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.

  • Class Action Waiver: YOU AND HLM GLOBAL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, Refund and Return Policy, and Shipping Policy, constitute the sole and entire agreement between you and HLM Global LLC regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
